Twitter introduces ”poisonous drug clause” to counter Mr. Musk’s acquisition proposal
米ＳＮＳ大手ツイッターの取締役会は１５日、「ポイズンピル（毒薬条項）」と呼ばれる防衛策を講じて、起業家のイーロン・マスク氏による買収提案に対抗する考えを明らかにしました
The board of directors of the U.S. SNS giant Twitter announced on the 15th that it will take a defense measure called ”poison pill (poisonous drug clause)” to counter the acquisition proposal by entrepreneur Elon Musk.
ポイズンピルはマスク氏以外の既存株主に割安価格で新株を取得する権利を与え、同氏所有の株を実質的に希薄化するというものです
Poison Pill gives existing shareholders other than Mr. Musk the right to acquire new shares at a bargain price, effectively diluting his shares.
It will be activated when 15% or more of the issued common stock is acquired.
ポイズンピルを発動してもマスク氏の買収を阻止できるとは限りませんが、買収額がつり上がり、取締役会との交渉を余儀なくされることになる可能性はあります
Invoking the poison pill does not necessarily prevent Mr. Musk’s acquisition, but it could increase the purchase price and force him to negotiate with the board of directors.
